If the metal is sound overall I'd use pickup truck bed liner material. Duplicolor makes brushable bed liner which I used as a sound deadener and sealant on the passenger floor (under carpet) on my Pacer.  The spare tire well only has to support the tire and tools so there's not a lot of high density load there.  The spare tire cover bridges it so you don't have to worry about the weight of heavy cargo like a 24-pack of Bud in the back.

Others have used cheaper materials but I went for Dynamat sound deadener in my Gremlin (now for sale on Ebay BTW).  That black insulation was used on AMCs (as you know Ken) to quiet our tin-bodied compacts and give cars like the Concord more of a luxury feel.
